Holiday Promotion: Up to three months free on multi product subscriptions

Effective dates: December 12 through January 5 or until availability is exhausted or at the sole discretion of First Reference

1. Overview of Offer

This limited time promotion provides complimentary subscription months when a company subscribes to multiple First Reference products during the promotion period. The offer is structured as follows

• First product qualifies for 10% Off

• Second product qualifies for 15% Off

• Third product qualifies for 25% Off

Complimentary months are applied to the highest priced product first then to the next highest and so on.

2. Promotion Period

The promotion begins on December 12 at 12.00 AM in the company’s local time zone and ends on January 5 at 11.59 PM in the company’s local time zone. First Reference may suspend or end the promotion at any time due to limited availability or for any other reason at its sole discretion.

3. Eligibility

A company is eligible when all of the following conditions are met

• The company subscribes to three products during the promotion period

• The customer can be new or returning

• Only one full promo per company is allowed during the promotion period

• If the company is an existing customer, it must add three new subscriptions during the promotion period. New means net new product lines not previously active or billed for the company in the past ninety days

A company is not eligible under any of the following conditions

• The company is within a renewal window and intends to apply the promotion to renewals of existing subscriptions

• The company attempts to redeem the promotion a second time or in combination with other offers, discounts, credits, or referral rewards unless expressly authorized in writing by First Reference

• The company seeks to apply the offer to upgrades, seat increases, add ons, or migrations rather than net new product subscriptions

• The company is delinquent, suspended, or has outstanding unpaid invoices with First Reference or its resellers

4. Offer Application and Limits

• Complimentary months apply only to base subscription fees for eligible product tiers and do not include taxes, fees, add ons, usage based charges, overages, implementation, onboarding, or professional services

• Complimentary months are applied in order of highest to lowest priced product at the time of purchase

• After the complimentary period ends, billing will automatically resume at the then current standard rates unless the subscription is canceled in accordance with Section 7

• The promotion has no cash value and is non transferable. It may not be sold, exchanged, or redeemed for cash or credit

• The promotion cannot be stacked with other promotions, coupons, negotiated discounts, or contract terms unless explicitly stated by First Reference in writing

• First Reference reserves the right to verify company identity, eligibility, and compliance including requesting documentation. Failure to provide information may result in denial or reversal of the promotion

5. Ordering and Billing

• Orders must be placed through approved First Reference channels such as the website, sales representatives, or authorized resellers during the promotion period

• Pricing and currency are determined by the customer’s contracting entity and region

• Any proration, partial month billing, or mid cycle changes are governed by the standard subscription terms and may not extend the complimentary period

• If multiple products are purchased on different dates within the promotion period, complimentary months are assigned based on the first three eligible products purchased and in accordance with Section 1

6. Exclusions

The promotion excludes

• Government, enterprise, or custom contracts where pricing and terms are separately negotiated

• Beta products, limited release products, or products designated as not eligible by First Reference

• Any subscription initiated prior to the promotion period or after its end

• Any prior purchases or retroactive credits

7. Cancellation and Changes

• Customers may cancel future billing at any time per the standard cancellation policy. Cancellation during a complimentary period ends the promotion and no refunds or credits are issued for unused complimentary time

• Changing product tiers or reducing seats during the complimentary period may result in the loss or adjustment of the promotion benefits

• First Reference may correct obvious errors, misprints, or miscalculations in promotional application and reserves the right to revoke the promotion for abuse, fraud, or violation of these terms

8. Availability and Discretion

• Availability is limited. The promotion may be withdrawn or modified at any time without notice at the sole discretion of First Reference

• If availability is exhausted, orders may be refused or fulfilled without promotional benefits

9. Communication and Notices

• Promotional communications are provided for convenience. The controlling terms are those set forth in this document and the customer’s master subscription agreement

• Any conflicting statements in marketing materials are superseded by these Terms and Conditions

10. Privacy and Data

• Participation in the promotion requires processing of customer information in accordance with the First Reference Privacy Policy. By participating, the customer consents to the processing required to administer the promotion

11. Taxes and Compliance

• Customers are responsible for all applicable taxes, duties, and fees

• Customers must comply with all laws and regulations applicable to the purchase and use of the products

12. Limitation of Liability

• To the maximum extent permitted by law, First Reference is not liable for indirect, incidental, special, consequential, or punitive damages related to the promotion

• In any event, First Reference total liability related to the promotion will not exceed the amount actually paid by the customer for the applicable subscription during the promotion period

13. Dispute Resolution and Governing Law

• Any disputes related to the promotion will be resolved under the governing law and venue specified in the customer’s master subscription agreement with First Reference. If none exists, insert governing law and venue here

14. Reservation of Rights

First Reference reserves all rights not expressly granted in these Terms and Conditions. Participation in the promotion constitutes acceptance of these Terms and Conditions.
